Michael Clayton (George Clooney) è un "faccendiere" che lavora presso uno dei più importanti studi legali di New York. Prendendo ordini dal co-fondatore dello studio, Marty Bach (Sydney Pollack), Clayton, ex pubblico ministero nato in una famiglia di poliziotti, sbriga gli affari più sporchi dello studio Kenner, Bach & Ledeen cercando di rimediare ai guai commessi dai suoi facoltosi clienti, occupandosi di casi di omissione di soccorso, diffamazioni a mezzo stampa, mogli dedite a piccoli furti e politici disonesti. Pur essendo stufo del suo lavoro, Clayton è legato a doppio filo a Kenner, Bach & Ledeen perché il divorzio, la passione per il gioco d'azzardo e un'avventura imprenditoriale finita male gli hanno fatto accumulare una montagna di debiti. Al contempo, Karen Crowder (Tilda Swinton) capo dell'ufficio legale della U/North, società che opera nel settore dei prodotti chimici per l'agricoltura, si sta giocando la carriera sull'esito di una "class action" nella quale la sua società viene difesa dallo studio di Clayton. Ormai sembra che l'esito del processo sia scontato - con una vittoria della U/North, - ma all'improvviso l'avvocato civilista di punta della Kenner, Bach & Ledeen, il brillante Arthur Edens (Tom Wilkinson), ha un crollo psicologico che lo porta a sabotare l'intera causa minacciando di ribaltarne l'esito. A quel punto, toccherà a Michael Clayton tentare di risolvere un disastro senza precedenti e nel farlo sarà costretto a fare i conti con ciò che è diventato.
